1. These terms
These Terms of Service govern access to and use of Contractors Watch, a private, subscription-based property risk-intelligence service for professional contractors operating in the United States. In these Terms, "Contractors Watch", "we", "us" and "our" mean the operator of the service, and "you" means the person and the business accepting these Terms.
By creating an account, accessing the service, or paying for a membership, you agree to these Terms on your own behalf and on behalf of the business you represent, and you confirm you are authorized to do so. If you do not agree, do not use the service.
2. Contractors Watch is not a consumer reporting agency
Contractors Watch is not a consumer reporting agency as defined by the federal Fair Credit Reporting Act (FCRA) or any comparable state law, and the information available through the service is not a consumer report, investigative consumer report, or credit report.
You may not use the service, in whole or in part, as a factor in establishing any person's eligibility for credit or insurance, for employment or contractor engagement screening of an individual, for tenant or housing decisions, for government licensing or benefits, or for any other purpose covered by the FCRA or a comparable state statute. Use of the service is limited to assessing risk associated with a property and a prospective or active construction project at that property.
We do not verify the accuracy of the underlying facts a contributor reports in the way a consumer reporting agency is required to, and we make no representation that any information is complete, current, or suitable for any regulated decision. If you need information for a purpose described above, obtain it from a lawfully permitted source.
3. Eligibility and accounts
The service is intended solely for professional contractors and their authorized personnel operating in the United States. You must provide accurate registration and business information, keep your credentials secure, and use the account only for legitimate business due diligence. One contractor profile is associated with one organization.
Access to property intelligence requires email confirmation, completed business verification, an account in good standing, and an active paid membership. We may decline, suspend, or withdraw access where information is inaccurate or cannot be confirmed, where security is threatened, or where these Terms are breached. You are responsible for all activity under your account.
4. Verification
You authorize us to review the business information and supporting documents you submit for verification, and to contact you about them. Verification means that specified information satisfied our review process at that time. It is not an endorsement, a confirmation of licensing in any particular jurisdiction, a credit assessment, a guarantee of workmanship, or a continuing warranty of any kind.
You must keep verification information current. We may re-verify at any time, and may withdraw access where credentials lapse, including where insurance coverage expires.
5. Permitted use of property intelligence
You may search by property address and use approved report intelligence for your own internal business due diligence in connection with prospective or active contracting work. You may not use the service to identify, profile, contact, harass, discriminate against, threaten, or publicly expose a property owner, occupant, reporting contractor, or any other person.
Property intelligence reflects only what contributors have reported and what our review process has approved. It may be incomplete, contested, out of date, or mistaken, and the absence of information about a property means only that nothing has been reported. It does not replace contracts, inspections, credit checks, lien searches, legal advice, safety assessment, insurance review, or your own professional judgment, and you remain solely responsible for your business decisions.
Access is granted to you and your authorized personnel only. You may not share, resell, republish, syndicate, or otherwise make platform information available outside your organization.
6. Reports you submit
You are responsible for every report, description, document, photograph, video, and other material you submit. You represent and warrant that each submission is truthful to the best of your knowledge, is stated as fact rather than accusation or opinion presented as fact, relates to legitimate contracting activity you were party to, was lawfully obtained, and does not contain unnecessary personal information, defamatory content, threats, discriminatory material, malicious code, or anything that infringes another person's rights.
Do not include the name, telephone number, email address, or other contact details of a homeowner, occupant, or other individual in a report. Describe events, dates, agreed terms, and documented outcomes.
You grant us a non-exclusive, worldwide, royalty-free licence to host, store, secure, reproduce, review, moderate, summarize, and display your submissions as necessary to operate, protect, and improve the service. This licence continues for retained moderation, dispute, audit, security, and legal records for as long as we retain them under our Privacy Policy.
7. Moderation and publication
Submitting a report is not publishing it. Every report passes through a review process and may be approved, returned for revision, or declined. We may ask for clarification, decline publication, adjust the presentation of structured fields, restrict access, or remove content where we reasonably consider it necessary for policy, safety, accuracy, legal, or quality reasons.
Approval means a report met our review requirements at that time. It is not a determination that every statement in it is true, and it is not an endorsement of the contributor or a judgment about any person associated with the property.
Published reports identify the contributor by trade or category only. We do not disclose the reporting company's identity to other contractors.
8. Evidence and sensitive information
Evidence you upload is stored privately and is intended for authorized administrative review. Upload only what is necessary to substantiate a report or a verification request.
Do not upload payment card data, account passwords, medical information, government identifiers beyond the specific verification material requested, or information about people who are not relevant to the matter being documented.
9. Challenges from property owners
Property owners and their authorized representatives may challenge published information about a property. A challenge opens a review; it does not guarantee correction, removal, or any particular outcome. A claimant must provide truthful information and may be asked to establish their authority or to supply supporting context.
We may preserve challenged material and the associated records while a challenge is under review or while we address a legal, safety, fraud, or audit obligation.
10. Membership and billing
Membership is offered on a monthly or annual basis. The price, billing interval, any applicable taxes, and the total due are shown before you complete checkout. Payment is processed by Stripe under its own terms and privacy practices. We do not store full payment card numbers.
Membership renews automatically at the interval you selected until you cancel. You may cancel at any time through the billing controls in your account; cancellation stops future renewals and your access continues until the end of the period you have already paid for.
Except where the law requires otherwise, payments are non-refundable and we do not provide refunds or credits for partial billing periods, for periods in which you did not use the service, or where access is withdrawn because of a breach of these Terms. If you move from monthly to annual billing, the change takes effect immediately, you are charged the annual price at that point, and credit for the unused part of the current month is applied to that charge.
We may change pricing for future billing periods and will give notice before a change takes effect. A price change never alters a charge that has already been completed.
11. Acceptable use
You may not scrape, crawl, or bulk-extract data from the service; circumvent access controls or usage limits; reverse engineer protected functionality; probe, scan, or test the security of the service; upload malicious code; impersonate another person or organization; submit false, retaliatory, or manipulated reports or challenges; retaliate against a contributor; sell, licence, or republish platform data; or access the service by automated means except through an interface we have expressly authorized.
We may investigate suspected breaches, and may suspend or withdraw access while we do so.
12. Intellectual property
The service, including its software, brand assets, design, structure, risk methodology, and platform-generated presentation, is owned by or licensed to us and is protected by intellectual property law. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the service for its intended business purpose, and nothing more.
You retain ownership of the content you submit, subject to the licence in section 6.
13. Disclaimers
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT THE INFORMATION AVAILABLE THROUGH IT IS COMPLETE, CURRENT, OR ACCURATE, THAT IT WILL IDENTIFY EVERY RISK ASSOCIATED WITH A PROPERTY, OR THAT IT WILL PRODUCE ANY PARTICULAR BUSINESS OUTCOME.
Some jurisdictions do not permit the exclusion of certain warranties, so parts of this section may not apply to you.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, CONTRACTS, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS.
These limits apply to the fullest extent permitted by law and do not exclude any liability that cannot lawfully be excluded. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
15. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold us harmless from any claim, demand, loss, liability, or expense, including reasonable legal fees, arising out of or relating to content you submit, your use of the service, your breach of these Terms, or your violation of any law or of another person's rights.
We will notify you of any such claim, allow you to control its defense with counsel of your choosing subject to our reasonable approval, and cooperate with you at your expense. You may not settle a claim in a way that imposes an obligation on us without our written consent.
16. Suspension and termination
You may stop using the service at any time and cancel recurring billing through your account controls. We may restrict, suspend, or terminate access for material breach of these Terms, fraud, abuse, security risk, a legal obligation, or conduct that harms the service or other users.
Sections that by their nature should survive termination will do so, including sections 2, 6, 12, 13, 14, 15, and 17. Handling of your information after termination is governed by our Privacy Policy and applicable law.
17. Governing law and disputes
These Terms and any dispute arising out of or relating to them or the service are governed by the laws of the State in which the operator of Contractors Watch is established, and by applicable federal law of the United States, without regard to conflict-of-law principles.
Before starting any formal proceeding, you agree to contact us at the address in section 18 and to attempt in good faith to resolve the dispute informally for at least thirty days. If the dispute is not resolved, it will be brought exclusively in the state or federal courts located in the operator's home jurisdiction, and both parties consent to the personal jurisdiction of those courts.
Any claim must be brought within one year after it arises, to the extent that limitation is permitted by law. Each party brings claims in its individual capacity and not as a plaintiff or class member in any class or representative proceeding.
18. Changes and contact
We may update these Terms. Where a change is material, we will give notice through the service or by email before it takes effect, and continuing to use the service after that date means you accept the updated Terms. The date at the top of this page shows when it was last updated.
Questions about these Terms may be sent to support@contractorswatch.com.
